From strategic M&A advice to closing the deal, we have it covered

It takes deep insight into technology markets and trends to find the right technology acquisition opportunity. It takes deep experience to capture that opportunity in a timely manner. With Regent you have this insight and experience on your side, from strategic M&A advice to a steady guiding hand at every stage of the acquisition.

Regent On Your Side

Your acquisition will be personally managed from start to finish by one of the Partners who lead the Regent team.

Your Partner will be a specialist in your target technology sector, whether that be telecommunications; IT hardware, software or services; or digital media. They will be objective, practical and supportive in guiding you through the acquisition process:

1. Defining or confirming your strategy

Right from the start, the M&A advice we give you will be based on listening carefully and probing to understand your business position and objectives.

We bring our knowledge of your target sector and the latest market research to the table to help you develop, refine or confirm your strategy, and your plans for acquisition.

2. Translating strategy into an acquisition profile

We then draw up a profile for the kind of target that will meet your objectives, and test this by discussing with you a sample list of technology companies that meet the defined criteria. In discussing this list we finetune the criteria and refine the profile to reflect your priorities.

3. Identifying targets

Once the profile is agreed we use a range of research resources and databases — including our own proprietary CRM database; and TechBase, our uniquely comprehensive M&A database — to create a ‘longlist’ of candidates for discussion. Together with you we refine this to a target list for initial approach by us.

4. Getting to a shortlist

To narrow the target list to a shortlist we:

  • Draw up a detailed profile of each target, including their key markets, products and services, clients and personnel.
  • Make initial approaches to gauge interest.

At this stage our M&A advice is designed to help you decide which of the targets are the best opportunities and worth meeting.

5. Initiating introductions and negotiations

We introduce you to the people who matter in your shortlist of companies, and help you make the right first impression during initial discussions. Through the negotiations we are there to help you:

  • Convey the value you offer as strongly as possible.
  • Avoid pitfalls that may weaken your negotiating position or cause delays.
  • Assess and hone in on the best opportunity.
  • Structure and present your offer.
6. Performing valuations

When making and negotiating an offer, it is critical to have an objective and accurate valuation of the target company.

We use tried-and-tested valuation models, and a uniquely comprehensive set of valuation data (including our proprietary TechBase repository), to give you a highly informed valuation: specific to your particular type of technology company.

7. Due diligence and completion

To keep your acquisition on track in the final phases, we support and guide you in drawing up the heads of agreement, performing due diligence, and closing the deal to the satisfaction of all parties.
